3. Service Description

Holy Space provides professional computer systems design and engineering services, including but not limited to the following:

Infrastructure Architecture: Design and planning of on-premise data centers, hybrid cloud architectures, edge computing deployments, and distributed computing environments tailored to your operational requirements.

Network Engineering: Enterprise network topology design, SD-WAN implementation, load balancing architecture, zero-trust security frameworks, and mesh network configuration.

Cloud Architecture: Multi-cloud and hybrid cloud strategy development, container orchestration with Kubernetes, serverless computing architecture, and auto-scaling infrastructure design.

Cybersecurity Engineering: Defense-in-depth security architecture, threat modeling, intrusion detection and prevention systems, SIEM deployment, SOC design, and compliance framework integration.

Database Systems Design: High-availability database architectures including distributed SQL clusters, NoSQL deployments, data warehousing solutions, and real-time streaming data pipelines.

Systems Integration: Enterprise application integration, API gateway design, message queue architecture, and microservices orchestration.

The specific scope, deliverables, timeline, and fees for each engagement shall be defined in a separate statement of work, proposal, or service agreement executed by both parties. Holy Space reserves the right to modify, suspend, or discontinue any aspect of its services at its sole discretion, provided that such changes do not materially affect ongoing client engagements governed by separate written agreements.

4. User Obligations and Conduct

Upon full payment of all fees due, clients shall receive a non-exclusive, perpetual license to use the deliverables created specifically for them in the course of the engagement for their internal business purposes.

Your Content: You retain all rights to the data, documents, specifications, and materials you provide to Holy Space. By submitting such materials, you grant Holy Space a limited, non-exclusive license to use, reproduce, and modify such materials solely for the purpose of providing our services to you. You represent and warrant that you have all necessary rights to grant this license.

7. Payment Terms and Billing

The fees for Holy Space's services are set forth in individual proposals, statements of work, or service agreements. All fees are quoted and payable in the currency specified in the applicable agreement.

Payment Schedule: Unless otherwise specified in the applicable agreement, payment terms are net thirty days from the date of invoice. For fixed-price engagements, a deposit may be required before work commences. For time-and-materials engagements, invoices are issued monthly or at intervals specified in the agreement.

Late Payments: Late payments may incur interest at the rate of 1.5% per month or the maximum rate permitted by applicable law, whichever is lower. Holy Space reserves the right to suspend work on any engagement if payment is more than thirty days past due, without waiving any rights to pursue collection.

Taxes: All fees are exclusive of applicable taxes, duties, tariffs, and governmental assessments, including value-added tax (VAT), goods and services tax (GST), sales tax, and withholding tax, unless otherwise stated. You are responsible for payment of all such taxes, excluding taxes based on Holy Space's net income.

Expenses: Reasonable out-of-pocket expenses incurred by Holy Space in performing the services, such as travel, accommodation, and third-party software licenses, shall be reimbursed by you upon presentation of receipts or supporting documentation, unless explicitly included in the fixed fee.

8. Confidentiality

In the course of providing services, Holy Space may receive or have access to confidential information belonging to you or your organization. Confidential information includes all non-public information, whether written, oral, or electronic, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

Confidentiality Obligations: Holy Space agrees to hold all confidential information in strict confidence, to use such information solely for the purpose of providing the agreed services, and to not disclose such information to any third party without your prior written consent. These obligations do not apply to information that is or becomes publicly known through no breach of this agreement, is independently developed without use of confidential information, or is required to be disclosed by law, regulation, or court order.

Data Security: Holy Space implements industry-standard technical and organizational measures to protect your confidential information against unauthorized access, disclosure, alteration, or destruction. Our security measures include encryption, access controls, audit logging, and regular security assessments.

Survival: The confidentiality obligations set forth in this section shall survive the termination or expiration of these terms and any underlying service agreement for a period of three years, or indefinitely for trade secrets.

9. Service Availability and Modifications

Data After Termination: Upon termination of a client engagement, Holy Space will, upon your request and subject to the terms of the applicable agreement, make reasonable efforts to return or transfer your data in a standard format, provided there are no outstanding payment obligations. Holy Space shall thereafter securely delete your data in accordance with our data retention policies, unless retention is required by applicable law.

15. Governing Law and Jurisdiction

These Terms of Service and any disputes arising out of or relating to them, our website, or our services shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law principles.

Any legal action, suit, or proceeding arising out of or relating to these terms shall be instituted exclusively in the competent courts located in Qingdao, Shandong Province, People's Republic of China. You and Holy Space irrevocably submit to the exclusive jurisdiction of such courts and waive any objection to venue or forum non conveniens.
